1. Definitions

● Rosendorff Rewards Points are the rewards currency earned by Rosendorff Rewards based on Eligible Spend and other Earn Activity available from Rosendorff Diamonds from time to time, and available for Members to redeem against future eligible Rosendorff Diamonds purchases.

● Earn Activity refers to non-spend activity with which Members can earn Rosendorff Rewards Points subject to meeting specific conditions set by Rosendorff Diamonds.

● Eligible Spend defines the Rosendorff Diamonds purchases, returns and exchanges that contribute to the earning of Rosendorff Rewards rewards (including Rosendorff Rewards Points) and access to Rosendorff Rewards benefits (Tier Benefits).

● Rosendorff Rewards means the loyalty program offered by Rosendorff Diamonds to eligible and participating customers, and potential customers.

● Member is a customer who has registered their details and created a secure Rosendorff Diamonds account with a valid email address, and who is eligible to earn and access Rosendorff Rewards rewards and benefits (including Rosendorff Rewards Points and Tier Benefits).

● Member Terms means any applicable Rosendorff Rewards terms and conditions, rules, regulations, policies and procedures of Rosendorff Rewards, including, without limitation, these member terms.

● Participating Stores Rosendorff Rewards is currently only available online.

● Qualifying Tier Spend is the amount of Eligible Spend required by a Member to meet the spend threshold associated with Rosendorff Rewards Tiers for access to corresponding Tier Benefits.

● Tier Benefits are the Rosendorff Diamonds benefits available based on the Rosendorff Rewards Tier Status.

● Tier Status is the Tier assigned to a Rosendorff Member based on Qualifying Tier Spend.

2. General

2.1. The Rosendorff Rewards program provides rewards and benefits to registered Members, including:

Rosendorff Rewards Points – earned based on Eligible Spend and (non-transactional) Earn Activity, to be subsequently spent on Rosendorff Diamonds purchases, and Tier Benefits - based on Eligible Spend meeting Qualifying Tier Spend for the corresponding Tier Status.

2.2. These Terms and Conditions outline the management and operation of Rosendorff Rewards and associated membership, rewards, benefits, and related promotional activity. As a Member of Rosendorff Rewards, you agree to and are bound, without limitation, by these Member Terms. any variations
made to them and any applicable terms and conditions, rules, regulations, policies, and procedures of Rosendorff Rewards. By agreeing to these Member Terms, you are entering into an agreement with Rosendorff Diamonds, including its successors, assignees, and related bodies corporate and agree to comply with any and all applicable laws and regulations, whether domestic or International.

2.3. By registering for Rosendorff Rewards, you warrant and represent to us that you have read, understand, and agree to be bound by these Member Terms and that you are over the age of 18 years of age, have the right, authority and legal capacity to enter into a legally binding agreement and to abide by these Member Terms.

2.4. Rosendorff Diamonds, at its sole discretion, reserves the right to suspend, modify or terminate any aspect of Rosendorff Rewards and the related Member Terms at any time without notice. Rosendorff Diamonds may collect personal information for the purpose of providing Rosendorff Rewards updates to Members including related rewards and benefits, and promotional activity. Personal information will be handled in accordance with Rosendorff Diamonds’s Privacy Policy (https://rosendorffs.com/policies/privacy-policy). These Member Terms are to be read in conjunction with any additional conditions associated with Tier Benefits, including without limitation our Privacy Policy (https://rosendorffs.com/policies/privacy-policy), Website T&Cs (https://rosendorffs.com/pages/terms-and-conditions) and other relevant Rosendorff Diamonds policies and or terms and conditions.

2.5. Rosendorff Diamonds may request proof of your identification at any time to verify your Rosendorff Rewards membership and compliance with these Member Terms.

2.6. Rosendorff Diamonds decisions relating to all Rosendorff Rewards matters are final and binding.

2.7. Rosendorff Diamonds reserves the right to disqualify Members in violation of any of the Member Terms or we reasonably suspect members are engaged in fraudulent or dishonest conduct with Rosendorff Rewards or are deemed to be abusing the program.

2.8. Rosendorff Diamonds acknowledges that certain jurisdiction laws (such as the Australian Competition and Consumer Act 2010 (Cth) imply terms, conditions, and warranties for the supply of goods and
services. These Terms and Condition are not intended to restrict application of these laws.

2.9. All material used in Rosendorff Rewards promotions is the property of Rosendorff Diamonds to the extent prescribed in the Copyright Act 1968 (Cth).

3. Membership

3.1. Rosendorff Rewards Eligibility: To be eligible for Rosendorff Rewards you must be over 18 years old and an Australian resident. Membership is limited to individuals only and is not available to Rosendorff Diamonds staff members, corporations, businesses, charities, partnerships, enterprises, or anyone other than an individual, unless Rosendorff Diamonds provides prior written consent, in its sole and absolute discretion. Membership is limited to one account per individual.

3.2. Registered Member Details: You become a Member when you register your personal details with Rosendorff online (rosendorffs.com).

3.3. Member Identification: To earn Rosendorff Rewards Points and to access Tier Benefits you must be identified as a Member, by being logged in to your Rosendorff Diamonds online account when you make purchases. If you have purchased with us previously, and created an account as part of that shopping experience, you will be automatically registered for Rosendorff Rewards to receive our new rewards and benefits. You may elect to opt-out at any time. It is your responsibility to ensure your registered personal details are up to date. Rosendorff Diamonds is not responsible for any outdated details. You can update details in-store, by logging in to your Rosendorff Rewards account (https://rosendorffs.com/pages/rewards). As a Member, you should promptly advise Rosendorff Diamonds of any changes to your personal details (such as name and/or email address) and update your Rosendorff Rewards account online (https://rosendorffs.com/pages/rewards). If you do not provide or update Rosendorff Diamonds with correct Member details, we may not be able to contact you about your rewards earned, Tier Benefits available, and other special offers and promotions you are eligible for. Rosendorff Diamonds is not liable if you fail to notify us of any change of details, which may result in you not earning rewards or obtaining your Tier Benefits and (where Eligible Spend cannot be linked to your Rosendorff Member account) may also result in the downgrade of your Tier Status.

3.4. Marketing: As a Member, you will receive email notifications from Rosendorff Diamonds which may include (but not limited to), exclusive offers, sales, discounts and promotions, as well as updates relating to your Rosendorff Rewards’ membership, rewards, and benefits. As a Member, you consent in advance to be contacted with latest news from Rosendorff Diamonds, special Rosendorff Member promotions, product offers and/or other promotional purposes via email, SMS and other channels.

3.5. Email Opt Out: If you do not wish to receive Rosendorff Diamonds emails you can opt out as follows:

If you no longer wish to receive general Rosendorff Diamonds emails providing news, content and general offers, you can click the unsubscribe link in any of our emails. When unsubscribe, you can still access your Rosendorff Rewards Points and Tier Benefits by logging into your account online.

If you no longer wish to be part of Rosendorff Rewards you can close your account by logging in. By cancelling your access to Rosendorff Rewards you forfeit any Rosendorff Rewards Points and Tier Benefits associated with your membership at the time of cancellation.

3.6. Privacy Policy: Rosendorff Diamonds collects, uses, discloses, retains, and manages your personal information in compliance with the Privacy Act 1988 (Cth), and the Australian Privacy Principles in the Privacy Act. Personal information provided by Members for Rosendorff Rewards is managed in accordance with these Terms and Conditions and Rosendorff Diamonds’s Privacy Policy (https://rosendorffs.com/policies/privacy-policy).

3.7. Membership: Rosendorff Rewards Points and Tier Benefits are non-transferrable and may not be purchased, sold, assigned, auctioned, or traded, including, without limitation, by death or as part of a domestic relations matter and doing so voids your Rosendorff Member’s account. Rosendorff Rewards Points and Tier Benefits and have no cash value and are not exchangeable for cash.

3.8. Right to change/cancel: Rosendorff Diamonds holds the right to suspend, modify, or terminate your Rosendorff Rewards membership, rewards and benefits at any time if you are found to be in breach of these Member Terms. In the case of your membership being terminated any rewards and benefits (including Rosendorff Rewards Points and Tier Benefits) associated to with your Rosendorff Rewards account are revoked, without compensation. Rosendorff Diamonds may alter, limit, modify or terminate Rosendorff Rewards, Rosendorff Rewards structure, any other feature of Rosendorff Rewards, or these Member Terms in its sole and absolute discretion at any time, and in any manner, without notice to you. Any modification to the Member Terms may be applied to a Member retrospectively. Your continued participation in Rosendorff Rewards will confirm your acceptance of such changes.

4. Earning Rosendorff Rewards Points

4.1. Earn Rosendorff Rewards Points: Eligible Spend when you are identified as a Member at the point of purchase.

4.2. Eligible Spend for Rosendorff Rewards Points Earn: Includes transactions and purchases in Australian dollars (AUD) on rosendorffs.com. Eligible Spend is calculated on the net amount of your transaction (after any discounts or refunds applied at point of purchase and includes GST). Rosendorff Rewards Points are not earned on the purchase of Rosendorff Diamonds gift cards, any purchases made using gift cards, cost of delivery, or items specifically excluded as an Eligible Spend in the sole discretion of Rosendorff Diamonds from time to time.

4.3. Rosendorff Rewards Points Balance: If you meet the applicable terms, Rosendorff Rewards Points earned from Eligible Spend should be automatically allocated to your Rosendorff Rewards’ account within 24 hours of your transaction being invoiced. You can review your Rosendorff Rewards Points balance at https://rosendorffs.com/pages/rewards.

4.4. Refunds: Where refunds are issued by Rosendorff Diamonds, in accordance with the Rosendorff Diamonds Return Policy, the refund amount will be removed from Eligible Spend and any associated Rosendorff Rewards Points earned with the original purchase will be automatically deducted from your Rosendorff Rewards Points balance.

4.5. Bonus Rosendorff Rewards Points: At its sole discretion, Rosendorff Diamonds may offer you the opportunity to earn additional Rosendorff Rewards Points via promotional offers for a limited period. These offers may include (but not limited to) bonus Rosendorff Rewards Points for Eligible Spend over a certain threshold, during a particular promotional period, purchase of specific products and/or in specific Rosendorff Diamonds Participating Stores. Rosendorff Diamonds will notify you by email if you are eligible to earn bonus Rosendorff Rewards Points including any specific terms and conditions and limitations that might apply.

5. Redeeming Rosendorff Rewards Points

5.1. Redeem: You can redeem all or any portion of your available Rosendorff Rewards Points on Rosendorff Diamonds purchases on rosendorffs.com. Your Rosendorff Rewards Points are deducted from your net transaction (after any discounts and refunds have been applied and including GST). Where your Rosendorff Rewards Points balance, or portion of Rosendorff Rewards Points you choose to redeem, is less than the transaction amount owed, another form of payment is required to complete your purchase.

5.2. Exclusions: Rosendorff Rewards Points cannot be redeemed on purchases of Rosendorff Diamonds gift cards, cost of delivery.

5.3. Rosendorff Rewards Points Validity and Expiry: Rosendorff Rewards Points do not expire so long as an eligible purchase is made at least once every 24 months. Once Rosendorff Rewards Points are redeemed, they cannot be re-issued or re-used. Rosendorff Diamonds is not liable to compensate or allow late redemption to any Members who fail to redeem Rosendorff Rewards Points before expiration. Once your Rosendorff Rewards Points have reached their expiry and/or your Rosendorff Rewards account reaches $0 Rosendorff Rewards Points balance, any unredeemed Rosendorff Rewards Points cannot be used.

5.4. Participating Stores: Rosendorff Rewards Points can be redeemed at Rosendorff Diamonds online (rosendorffs.com).

5.5. Forfeit of Rosendorff Rewards Points: If you cancel your membership to Rosendorff Rewards you forfeit any Rosendorff Rewards Points remaining and unused at the time of cancellation. If you are found in breach of these Member Terms, and your membership is terminated by Rosendorff Diamonds, you Rosendorff Rewards Points are forfeited, without compensation.

6. Additional Ways to Earn Rosendorff Rewards Points

6.1. Rosendorff Diamonds may, from time to time, provide you with opportunities to earn Rosendorff Rewards Points via non-transactional Earn Activity. Rosendorff Diamonds reserves the right, in its sole discretion, to
update, modify or cancel these methods of earning Rosendorff Rewards Points at any time.

6.2. Rosendorff Rewards Points from non-spend Earn Activity can be earned via the methods and applicable terms outlined below.

7. Refunds

If you return a Rosendorff Diamonds product and are issued with a refund, this refund amount Is deducted from Eligible Spend. This means: Any Rosendorff Rewards Points that were originally earned on the Eligible Spend being refunded, are deducted from your Rosendorff Rewards Points balance; and The equivalent refunded Eligible Spend is deducted from your Qualifying Tier Spend.

Where a Rosendorff Diamonds product, purchased in part using Rosendorff Rewards Points, is subsequently returned, you will receive a cash refund (including to your debit or credit card) for the amount paid in cash (or debit or credit card). The Rosendorff Rewards Points used as part payment for the returned product will be forfeited and not re-issued to your account.

Where a Rosendorff Diamonds product purchased in full using Rosendorff Rewards Points is subsequently returned, the Rosendorff Rewards Points used for this purchase will be forfeited and not re-issued to your account. No cash refund is applicable. All returns are managed in accordance with the Rosendorff Diamonds Return Policy irrespective of any issuance or redemption of Rosendorff Rewards Points.

8. Rosendorff Rewards Tiers and Benefits

8.1. Tier Status: You are automatically assigned Rosendorff Member Tier Status based on Eligible Spend that meets the below Qualifying Tier Spend threshold. Your Tier Status is based on Eligible Spend from your initial purchase at the time that you register as a Rosendorff Member.

8.2. Qualifying Tier Spend and Tier Benefits are outlined below:

These Tier Benefits may be amended, replaced, or removed by Rosendorff Diamonds, at its discretion, at any time without notice.

8.3. Initial Transaction: If you make a transaction at the time of registering with Rosendorff Rewards, any Eligible Spend included in that transaction contributes to the Qualifying Tier Spend.

8.4. Eligible Spend for Tier Qualification: Includes all purchases in Australian dollars (AUD) made with Rosendorff Diamonds. Eligible Spend is the net amount (calculated after any discounts and refunds applied at point of purchase and includes GST). The purchase of Rosendorff Diamonds gift cards, any purchases made using a gift card, cost of delivery, selected merchandise or items specifically excluded from Eligible Spend in the sole discretion of Rosendorff Diamonds from time to time, are not Eligible Spend and will not contribute to your Qualifying Tier Spend.

8.5. Refunds: Where refunds are issued, in accordance with the Rosendorff Diamonds Refund Policy the refund amount is deducted from Eligible Spend, including deduction of this refund amount from your Qualifying Tier Spend balance.

8.6. Validity of Tier Benefits: Upon Tier allocation you gain access to the corresponding Tier Benefits outlined above.

8.7. Tier Upgrade: When you meet the Qualifying Tier Spend threshold of a higher Tier, your Tier Status is automatically upgraded and, upon this qualification, you gain access to the corresponding Tier Benefits.

8.8. Birthday Gift: If you have registered your birthday with Rosendorff Rewards, you may be eligible to receive a birthday gift depending on your Tier Status which is applied as a credit towards any Rosendorff Diamonds purchase.

The birthday gift is automatically applied to your account on your birthday.

Rosendorff Diamonds reserves the right, in its sole discretion, to modify or cancel this birthday gift at any time, without notice.

8.9. Early Access and Exclusive Offers: Rosendorff Diamonds, at its sole discretion and depending on your Tier Status, may invite you to access special promotional offers, discounts, and sales.

This may include (but not limited to) advanced access to, and/or discounts on, specific products or product ranges, in specific Participating Stores (online and/or in-store).

You will be notified of these special promotional offers by email if you have elected to receive marketing emails from Rosendorff Rewards, detailing specific terms and conditions for the sale or promotion, including but not limited to, how you can access the sale, discount/value, Participating Stores, location, limited time availability and any other applicable restrictions.

You may be invited to exclusive events from Rosendorff Diamonds by email if you have elected to receive marketing emails from Rosendorff Rewards, informing you of any specific terms and conditions, including but not limited to, event location, how to register for or book the event, and any limited time availability or other applicable restrictions.

10. Intellectual Property

10.1. All Rosendorff Rewards design, text, graphics, logos, images, titles, phrases and product names and the copyrights, trademarks, service marks, trade dress and/or other intellectual property in such materials are owned by the Rosendorff Diamonds.

11. Release and Indemnity

11.1. To the maximum extent permitted by law, Rosendorff Diamonds excludes any and all liability to you, whether in contract, tort (including negligence) or otherwise, for any special, indirect or consequential loss arising under or in connection with these Member Terms, including but not limited to, any loss of business opportunity or anticipated savings.

11.2. To the maximum extent permitted by law, Rosendorff Diamonds expressly excludes any conditions, warranties, guarantees, rights, remedies, liabilities or other terms that may be implied by custom, under the general law or by statute in favour of you under these Member Terms.

11.3. You agree to release and indemnify and hold Rosendorff Diamonds and its affiliates, agents, and employees, harmless from and against any claims, demands, proceedings, losses and damages (actual, special and consequential) of every kind and nature, known and unknown, including legal fees on a full indemnity basis, arising from or in relation to your use of Rosendorff Rewards, your breach of these Member Terms, or your violation of any law or the rights of a third party.

11.4. This clause survives termination of these Member Terms.

12. General

12.1. Waiver: Any failure or delay by Rosendorff Diamonds in exercising a power or right (either wholly or partially) in relation to these Member Terms does not operate as a waiver or prevent Rosendorff Diamonds from exercising that power or right or any other power or right. We are not liable to any other party for any loss, cost or expense that may have been caused or contributed to by the failure, delay, waiver or exercise of a power or right. This clause survives termination of these Member Terms.

12.2. Force majeure: If we are unable to perform in whole or in part, any obligation under these Member Terms as a result of any fact, circumstance or matter beyond our control, we are relieved of that obligation to the extent and for the period that it we are unable to perform the obligation. You agree that Rosendorff Diamonds will not be held liable for any delay or failure in performance of any part of Rosendorff Rewards.

12.3. Severability: If any part of these Member Terms is determined to be by a court of competent jurisdiction to be invalid or unenforceable, that part shall be severed from the Member Terms. Such invalidity does not affect the validity of the remaining provisions of these Member Terms. This clause survives termination of these Member Terms.

12.4. Relationship: These Member Terms do not confer an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between Rosendorff Diamonds and you or any other party unless expressly stated otherwise.

12.5. Entire agreement: These Member Terms (and all other terms and conditions and policies that are incorporated by these Member Terms) and any additional policies or terms you have agreed to through use or access of Rosendorff Rewards make up the entire agreement, and supersede all prior written and oral agreements, representations, undertakings and understandings. Where there is an inconsistency between these Member Terms and any additional Member Terms, the additional Member Terms will prevail. This clause survives termination of these Member Terms.

12.6. Jurisdiction: These Member Terms are governed by the laws of Western Australia. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts operating in Victoria and its appellate courts. Although Rosendorff Rewards may be accessed throughout Australia and overseas, we make no representations or warranties that its content, comply with the laws (including intellectual property laws) of any country outside Australia. If you access Rosendorff Rewards from outside Australia, you do so at your own risk and are responsible for ensuring compliance with all laws in the place where you are located. This clause survives termination of these Member Terms.
